1. Acceptance of Terms
By accessing or using the Assignment Desk platform, website, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Assignment Desk reserves the right to update these terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
2. Description of Service
Assignment Desk provides a platform for coordinating video production crew services, including crew booking, shoot management, invoicing, and payment processing. The Service connects clients who need video production crews with independent contractor crew members. Assignment Desk acts as an intermediary and administrative service provider — not as an employer of crew members.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating an account and to update your information as needed. Assignment Desk reserves the right to suspend or terminate accounts that violate these terms or that pose a security risk.
4. Third-Party Integrations
The Service integrates with third-party platforms including QuickBooks Online (Intuit) for accounting and payment processing, Google Calendar for crew scheduling, and Stripe for payment card processing. By using features that rely on these integrations, you acknowledge that your data may be shared with those third-party services as described in our Privacy Policy. Assignment Desk is not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.
5. Payment Terms
Clients agree to pay for crew services as quoted at the time of booking. Crew members are paid as independent contractors (1099) in accordance with the terms outlined in the Vendor ICA. Assignment Desk facilitates payment processing but is not liable for delays caused by third-party payment processors or banking institutions. Cancellation fees may apply as specified at the time of booking.
6. Intellectual Property
All content, trademarks, logos, and software associated with the Assignment Desk platform are the property of Assignment Desk or its licensors. You may not reproduce, distribute, or create derivative works from any part of the Service without prior written consent. Footage and materials captured during assignments are the property of Assignment Desk or the designated end client, as specified in the applicable contractor agreement.
7. Limitation of Liability
Assignment Desk provides the Service on an “as-is” and “as-available” basis. To the fullest extent permitted by law, Assignment Desk disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Assignment Desk shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities.
8. Indemnification
You agree to indemnify and hold harmless Assignment Desk, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Charleston County, South Carolina, subject to the arbitration provisions in Section 12.

11. Prohibited Activities and Automated Access
11.1 General Prohibition
You may not, directly or indirectly, without the prior written consent of Assignment Desk:
- Use any robot, spider, scraper, crawler, data mining tool, data gathering or extraction tool, or any other automated means, to access, collect, copy, or monitor any portion of the Service or any data or content found on or accessed through the Service;
- Use any automated system, including but not limited to “deep-link,” “page-scrape,” “robot,” “spider,” “offline reader,” or any similar automated browsing or retrieval mechanism, to access the Service in a manner that sends more request messages to the Assignment Desk servers than a human can reasonably produce in the same period using a conventional web browser;
- Reproduce, duplicate, copy, sell, trade, resell, distribute, or exploit any portion of the Service, use of the Service, or access to the Service, including but not limited to any data, content, crew information, client information, shoot details, contact information, billing data, or any compilation thereof;
- Attempt to decipher, decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code of any software comprising or making up any part of the Service;
- Frame, mirror, or incorporate any part of the Service into any other website, application, or service without prior written consent;
- Systematically retrieve data or content from the Service to create or compile, directly or indirectly, a collection, compilation, database, directory, or similar resource, whether by manual methods, through the use of bots, crawlers, spiders, or otherwise;
- Access or use the Service for the purpose of building a competitive product or service, or for benchmarking or competitive analysis;
- Access or use any non-public areas of the Service, Assignment Desk's computer systems, or the technical delivery systems of Assignment Desk's providers; or
- Circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict use, copying, or enforce limitations on use of the Service.
11.2 Authorized Search Engine and AI Crawlers
Notwithstanding Section 11.1, Assignment Desk grants a limited, revocable license to the operators of recognized public search engines and AI systems to use automated tools to access and index publicly available portions of the Service, SOLELY for the purpose of creating searchable indexes or AI training datasets, subject to the following conditions:
- The crawler must identify itself via a recognized User-Agent string (e.g., Googlebot, Bingbot, GPTBot, ClaudeBot, PerplexityBot);
- The crawler must comply with the instructions set forth in the Service's robots.txt file at all times;
- The crawler must not access any authenticated, gated, or API-only portions of the Service;
- The crawler must not access content at a rate that degrades the performance or availability of the Service;
- This license may be revoked by Assignment Desk at any time, for any reason, by updating the robots.txt file or by providing written notice to the crawler operator; and
- AI training crawlers that do not respect robots.txt directives are expressly prohibited from accessing the Service.
11.3 API Access
Any access to the Assignment Desk Application Programming Interface (“API”) is subject to the separate Assignment Desk API Terms of Use, which are incorporated herein by reference. Accessing the API constitutes acceptance of the API Terms of Use. No person or entity may access the API without agreeing to the API Terms of Use. Automated access to the Service that bypasses the API in an attempt to avoid the API Terms of Use is expressly prohibited.
11.4 Rate Limits
Assignment Desk enforces technical rate limits on all access to the Service and the API. These rate limits are contractual obligations, not merely technical controls. Exceeding any rate limit, whether or not technically enforced, constitutes a breach of these Terms. Assignment Desk reserves the right to throttle, suspend, or terminate access for any user or system that exceeds rate limits or that accesses the Service in a manner that Assignment Desk, in its sole discretion, determines to be excessive or abusive.
11.5 Liquidated Damages
You acknowledge that unauthorized scraping, data mining, or automated collection of data from the Service causes Assignment Desk harm that is difficult to quantify, including but not limited to degradation of service performance, loss of competitive advantage, and diminishment of the value of proprietary data compilations. Accordingly, in addition to any other remedies available at law or equity, you agree that any violation of Section 11.1 shall entitle Assignment Desk to liquidated damages in the amount of $25,000 per incident, or $100 per data record accessed or collected, whichever is greater. This liquidated damages provision reflects a reasonable estimate of the harm caused and is not a penalty. Assignment Desk may pursue actual damages to the extent they exceed the liquidated amount.
11.6 Computer Fraud and Abuse Act Notice
Unauthorized access to the Service, including but not limited to accessing the Service in violation of these Terms, accessing non-public portions of the Service without authorization, or exceeding authorized access, may violate the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the South Carolina Computer Crime Act (S.C. Code Ann. § 16-16-10 et seq.), and other applicable laws. Assignment Desk reserves the right to pursue all available legal remedies against any person or entity that engages in unauthorized access, including civil damages, criminal referral, and injunctive relief. By accessing the Service, you consent to Assignment Desk monitoring and recording your access for security and enforcement purposes.
11.7 Database and Compilation Rights
The compilation, organization, and arrangement of all data on the Service, including but not limited to crew profiles, location data, service descriptions, client directories, shoot records, billing data, ratings, and availability calendars, constitutes a copyrightable compilation and/or database protected under United States copyright law (17 U.S.C. § 103) and applicable international database protection laws. The selection, coordination, and arrangement of this data reflects substantial creative and financial investment by Assignment Desk. Unauthorized reproduction, distribution, or creation of derivative works from these compilations is expressly prohibited and may give rise to claims for copyright infringement, misappropriation of trade secrets, and unfair competition.
11.8 Trespass to Chattels
You acknowledge that the Service is hosted on computer servers owned or controlled by Assignment Desk and its hosting providers. Unauthorized automated access to the Service that consumes server resources, degrades performance, or interferes with the intended operation of the Service constitutes trespass to chattels under applicable law. Assignment Desk reserves the right to seek injunctive relief and damages for any such trespass.
11.9 Injunctive Relief
You acknowledge that any breach of Section 11 would cause irreparable harm to Assignment Desk for which monetary damages would be inadequate. Accordingly, Assignment Desk shall be entitled to seek temporary, preliminary, and permanent injunctive relief, without the necessity of posting bond or proving actual damages, in addition to any other remedies available at law or equity.
11.10 Digital Millennium Copyright Act
Assignment Desk respects the intellectual property rights of others and expects users of the Service to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”), Assignment Desk will respond expeditiously to notices of alleged copyright infringement that comply with the DMCA. To file a DMCA notice, please provide: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material to be removed with information sufficient to locate it; (4) your contact information; (5) a statement of good faith belief that the use is not authorized; and (6) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
12. Dispute Resolution
12.1 Mandatory Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and Assignment Desk (collectively, “Disputes”) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, except as provided below. The arbitration shall be conducted by a single arbitrator in Charleston County, South Carolina. The arbitrator shall apply South Carolina law consistent with the Federal Arbitration Act.
12.2 Class Action Waiver
YOU AND ASSIGNMENT DESK AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
12.3 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or the anti-scraping provisions of Section 11. Claims for liquidated damages under Section 11.5 may be brought in court or arbitration, at Assignment Desk's election.
12.4 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@assignmentdesk.com within 30 days of first accepting these Terms. The notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration provision.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
14. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Assignment Desk. Assignment Desk may assign these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be null and void.
15. Waiver
The failure of Assignment Desk to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by an authorized representative of Assignment Desk.
16. Electronic Communications Consent
By creating an account or using the Service, you consent to receive electronic communications from Assignment Desk, including emails, SMS messages, push notifications, and in-platform messages. You agree that all agreements, notices, disclosures, and other communications that Assignment Desk provides to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw consent to receive marketing communications by following the unsubscribe instructions in any marketing email, texting STOP to opt out of SMS, or contacting us directly. Withdrawal of consent to receive transactional communications (shoot confirmations, billing notifications, security alerts) may require account closure, as these are necessary for service delivery.
17. Modification of Terms
Assignment Desk reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least thirty (30) days before taking effect, and will be posted on this page with an updated “Last Updated” date. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.
18. Entire Agreement
These Terms, together with the Privacy Policy, API Terms of Use, and any applicable Vendor ICA or Client MSA, constitute the entire agreement between you and Assignment Desk regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
19. Force Majeure
Assignment Desk shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages, pandemic or epidemic, or failures of transportation, communication, or power supply.
