API Terms of Use

1. Acceptance and Scope

These API Terms of Use (“API Terms”) govern your access to and use of the Assignment Desk Application Programming Interface (“API”). By accessing or using the API, you agree to be bound by these API Terms, the Assignment Desk Terms of Service, and the Assignment Desk Privacy Policy, all of which are incorporated herein by reference. If you do not agree to these API Terms, you may not access or use the API.

2. API Access and Authentication

Access to authenticated API endpoints requires a valid API key or Bearer token issued by Assignment Desk. You are responsible for safeguarding your API credentials and for all activity that occurs using your credentials. You must not share, publish, or embed API credentials in client-side code, public repositories, or any location accessible to unauthorized parties.

3. Permitted Uses

You may use the API solely for the following purposes:

  1. Integrating Assignment Desk crew booking, scheduling, or billing functionality into your own internal business applications;
  2. Displaying publicly available Assignment Desk content (crew profiles, locations, services) on your own website or application with proper attribution;
  3. Building tools that enhance the Assignment Desk platform experience for authorized users; and
  4. Any other use expressly authorized in writing by Assignment Desk.

4. Prohibited Uses

You may NOT use the API for any of the following purposes:

  1. Reselling or redistributing any data or content obtained through the API;
  2. Competitive intelligence — using API data to build, enhance, or inform a competing product or service;
  3. Building competing products — using API data or functionality as a foundation for any product or service that competes with Assignment Desk;
  4. Data aggregation — combining API data with data from other sources to create a dataset, directory, or marketplace;
  5. Spam or unsolicited contact — using crew contact information, client information, or any personal data obtained through the API to send unsolicited communications;
  6. Scraping via API — using the API as a mechanism to systematically download, cache, or mirror Assignment Desk data beyond what is necessary for your permitted use;
  7. Circumventing access controls — accessing data beyond your authorization tier (public, authenticated, admin);
  8. Impersonation — representing that your application IS Assignment Desk or is officially endorsed by Assignment Desk without written authorization;
  9. Benchmarking — publishing performance benchmarks of the API without prior written consent; or
  10. Illegal purposes — using the API for any purpose that violates applicable law.

5. Rate Limits

The API is subject to rate limits as published in the API documentation. Rate limits are contractual obligations. Exceeding rate limits may result in temporary or permanent suspension of API access. Assignment Desk may modify rate limits at any time with or without notice.

6. Data Ownership

All data and content accessible through the API remains the sole property of Assignment Desk and/or its users, as applicable. Your use of the API does not grant you any ownership interest in any data or content. You may cache API responses for reasonable periods to improve your application's performance, but you may not create permanent copies of API data except as expressly permitted.

7. No Redistribution

You may not redistribute, sublicense, sell, or make available to any third party any data obtained through the API. You may display API data to authorized end users of your application, but you may not enable those end users to bulk download, export, or further redistribute such data.

8. Attribution

When displaying publicly available Assignment Desk content obtained through the API, you must include clear attribution to Assignment Desk with a link to assignmentdesk.com. The specific format of attribution may be prescribed in the API documentation.

9. Revocation

Assignment Desk may revoke, suspend, or limit your API access at any time, for any reason, with or without notice. Reasons for revocation include but are not limited to: violation of these API Terms, excessive usage, security concerns, abuse, or discontinuation of the API. Upon revocation, you must immediately cease all use of the API and delete any cached API data.

10. Indemnification

You agree to indemnify, defend, and hold harmless Assignment Desk, Go To Team Inc., their officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the API; (b) your violation of these API Terms; (c) your violation of any applicable law; or (d) any application or service you build using the API.

11. Audit Rights

Assignment Desk reserves the right to monitor and audit your use of the API to verify compliance with these API Terms. You agree to cooperate with any such audit and to provide reasonable access to logs, systems, and documentation upon request. Assignment Desk's monitoring of API usage does not create an obligation to detect or prevent violations, nor does it waive Assignment Desk's right to enforce these API Terms.

12. Warranty Disclaimer

The API is provided “as-is” and “as-available.” Assignment Desk makes no warranties, express or implied, regarding the API, including but not limited to availability, accuracy, completeness, reliability, or fitness for a particular purpose. Assignment Desk may modify, suspend, or discontinue the API at any time without notice.

13. Limitation of Liability

Assignment Desk's total liability for any claims arising from your use of the API shall not exceed the greater of (a) the fees paid by you to Assignment Desk for API access in the 12 months preceding the claim, or (b) $100. Assignment Desk shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
