MASTER SERVICES AGREEMENT FOR VIDEO CREW
This Agreement is made between Assignment Desk (“AD”), and Client (“Client”) defined above.
Crew Services: By executing this agreement, Client contracts the professional services of AD. AD may provide video crew, payment services and/or staffing services.
Invoicing, Price, & Payment: Client must sign AD’s estimate agreeing to defined rates for services prior to the shoot. All crew rates are based on a ten-hour day, with overtime billed at 1.5 times the rate after ten hours. In the event no written complaint is submitted within 20 days of invoice, the amount of the invoice shall be final and due and payable without set-off for any complaint. New clients are responsible for 100% of the payment prior to the shoot, with the balance of any expenses or additionals “upon receipt” of the invoice, unless other credit terms are accepted. For established clients, payment terms are net 30. A credit card will be required to secure payment until credit has been approved. The card will be used for past due balances if not paid within 30 days. Accounts past due by 120 days will be sent to collections, with the Client responsible for any fees.
Cancellations, Penalties & Weather: Cancellation fees apply once a shoot is firm-booked. A 50% charge applies for cancellations made 48 hours before the shoot, and 100% for cancellations within 24 hours. Additionally, the Client is responsible for any non-refundable out-of-pocket expenses related to the canceled shoot. Quick turnarounds of less than 6 hours keep the crew on the clock from the previous day. AD will make every effort to capture the required footage but is not responsible for weather changes. Clients concerned with weather should cancel or reschedule the shoot 48 hours in advance.
Footage: AD will provide media as described in the estimate. If the client chooses to ship the footage it will be shipped at the Client’s expense. Clients may also request digital media transfer for a fee. AD shall retain the right to use the final product as a marketing tool for prospective clients.
Work for Hire / Quality: AD strives to provide high-quality production services. Crews are hired as “work-for-hire,” transferring copyright of the work to the Client. Crews are paid based on time on set, not based on footage content, quality, or amount. Refunds or deductions will be applied for any equipment malfunctions.
Indemnification: Client agrees to indemnify and hold AD harmless from claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising from acts or omissions of the crew, Client, or third parties. AD is not liable for crew or third-party injuries, failures, malfunctions, or delays due to acts of God, labor issues, power or equipment failures, weather, or any other causes beyond their control.
Termination This agreement may be terminated by either party with 21 days’ written notice. All undisputed amounts for services rendered before termination must be paid within five business days of the termination date.
Non-Hire of Personnel Client agrees not to hire, directly or indirectly, any AD personnel who performed services for them within 12 months after final payment.
Governing Law: This agreement shall be governed by the laws of South Carolina. The Client irrevocably submits to the exclusive jurisdiction of the courts in the State of South Carolina.
Force Majeure: AD is not liable for losses due to labor disputes, governmental action, acts of God, or other uncontrollable events.

Terms of Service Summary for using our software
We provide you with software to manage your shoots and crew, manage your gigs, and post shoots; we will respect and protect your privacy, data and personal information. You run your event or campaign, service your attendees, protect your customers’ data, report & pay taxes, and observe all laws, rules, and regulations. Assignment Desk may offer other services to you that may be subject to additional or different terms.
SMS Notifications
1. When you opt-in to the service, we will send you an SMS message to confirm your signup.
2. You will receive messages confirming purchases and transactions made via text along with instructional information from event organizers related to any events you may be attending.
3. You can cancel the SMS service at any time. Just text “STOP” to the short code. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time, and we will start sending SMS messages to you again.
4. If at any time you forget what keywords are supported, just text “HELP” to the short code. After you send the SMS message “HELP” to us, we will respond with instructions on how to use our service as well as how to unsubscribe.
5. We are able to deliver messages to the following mobile phone carriers: Major carriers: AT&T, Verizon Wireless, Sprint, T-Mobile, MetroPCS, U.S. Cellular, Alltel, Boost Mobile, Nextel, and Virgin Mobile. Minor carriers: Alaska Communications Systems (ACS), Appalachian Wireless (EKN), Bluegrass Cellular, Cellular One of East Central IL (ECIT), Cellular One of Northeast Pennsylvania, Cincinnati Bell Wireless, Cricket, Coral Wireless (Mobi PCS), COX, Cross, Element Mobile (Flat Wireless), Epic Touch (Elkhart Telephone), GCI, Golden State, Hawkeye (Chat Mobility), Hawkeye (NW Missouri), Illinois Valley Cellular, Inland Cellular, iWireless (Iowa Wireless), Keystone Wireless (Immix Wireless/PC Man), Mosaic (Consolidated or CTC Telecom), Nex-Tech Wireless, NTelos, Panhandle Communications, Pioneer, Plateau (Texas RSA 3 Ltd), Revol, RINA, Simmetry (TMP Corporation), Thumb Cellular, Union Wireless, United Wireless, Viaero Wireless, and West Central (WCC or 5 Star Wireless). ***Carriers are not liable for delayed or undelivered messages***
6. As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive up to two SMS messages per transaction you make. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
Registering for Assignment Desk
You provide us with basic information about you, your nonprofit, or business organization; we will seek to verify your information (we may work with third parties to do so) and approve your account unless deemed risky (by us or our payment processors). You give us permission to do all this, and to periodically update the information or we otherwise must decline to offer Assignment Desk to you. There are some prohibited activities for which you may not use Assignment Desk including, but not limited to, illegal activity, adult content, gambling, multi-level marketing, drugs, Intellectual property or proprietary rights infringement and Investment & credit services.
